This Data Privacy Agreement (the “Agreement”) is made and entered into by and between Vayusutha Technologies LLP (“Vayusutha”, “Company”, “we”, or “our”), a limited liability partnership registered under the laws of section 12(1) Act 2008 and the Client (“Client”, “you”, or “your”).
WHEREAS, Vayusutha Technologies LLP(Parkmywheels) provides parking management solutions (“Services”) that involve the collection, processing, and storage of Personal Data; AND WHEREAS, the Company and the Client agree to set forth the terms and conditions for the collection, use, and protection of such data in full favor of Vayusutha Technologies LLP(Parkmywheels).
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties hereby agree as follows:

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of website and Vayusutha Technologies LLP (Parkmywheels) applications for mobile and handheld devices.
These Terms of Use may be modified from time to time in our sole discretion. It is your responsibility to review these Terms and Conditions from time to time. If you continue to use the Service after notice of change has been intimated or published on our Website/Application, you thereby provide your consent to the changed practices on the same terms hereof. For this reason, we encourage you to review these Terms of Use each time you access and use the Website/Application. Most content and some of the features on the Website/Application are made available to Users free of charge. However, Park reserves the right to terminate access to certain areas or features of the Website/Application at any time for any reason, with or without notice.
If you are not agreeable to these Terms of Use, you may not use the Services, the Website or the Application.
1. Definitions
Personal Data: Any data related to an identified or identifiable individual, including but not limited to name, contact information, vehicle registration details, transaction history, payment information, parking records, and other usage data.
Data Processing: Any action or series of actions performed on Personal Data, such as collection, use, storage, or transmission.
Data Subject: Any individual whose Personal Data is processed under this Agreement.
Confidential Information: Any non-public information disclosed by either Party that is marked as confidential or should be reasonably understood as confidential, including but not limited to Personal Data and business processes.
2. Purpose of Data Collection
Vayusutha collects, processes, and stores Personal Data for the sole purpose of providing its parking management services. The Personal Data collected may be used for the following purposes:
To facilitate registration and user authentication.
To process payments and billing information.
To allocate parking spaces and manage parking transactions.
To provide customer support and resolve service-related issues.
To track usage, monitor parking patterns, and analyze data for service improvements.
To comply with applicable legal or regulatory obligations.
The Client acknowledges and agrees that Vayusutha may process Personal Data as necessary to provide the Services.
3. Data Use, Storage, and Security
Use of Data: Vayusutha Technologies LLP may use the Personal Data for the purposes outlined above and for improving its business, including marketing and promotional activities directly related to the Services.
Data Storage: Vayusutha will store Personal Data in secure databases. Personal Data may be retained for the duration of the relationship between the Parties or as required by applicable law, whichever is longer. The Client acknowledges that Vayusutha has full discretion regarding the duration of data retention, subject to compliance with applicable legal requirements.
Security Measures: Vayusutha shall implement reasonable measures to secure Personal Data, including encryption, access controls, and regular audits. However, the Client acknowledges that no system is completely secure, and Vayusutha shall not be held liable for any breaches unless caused by gross negligence or willful misconduct on the part of Vayusutha.
4. Data Sharing and Disclosure
Third-Party Service Providers: Vayusutha may share Personal Data with trusted third-party service providers (e.g., payment processors, cloud hosting services, or IT support vendors) to facilitate the delivery of the Services. These third parties shall be bound by confidentiality agreements to ensure the protection of Personal Data.
Legal Compliance: Vayusutha may disclose Personal Data if required by law, regulation, or legal process, including but not limited to responding to subpoenas, court orders, or requests by government agencies.
Business Transfers: In the event of a merger, acquisition, or sale of all or a portion of Vayusutha’s assets, Personal Data may be transferred to the acquiring entity. The Client consents to such transfers, subject to the terms of this Agreement.
The Client agrees that Vayusutha has the right to disclose Personal Data in the above-described situations without further consent or notification.
5. Data Subject Rights
Right to Access: The Client acknowledges that it may, in some cases, have access to the Personal Data of its users or employees. Vayusutha shall provide reasonable assistance in facilitating any such requests for access to Personal Data.
Right to Rectification: The Client shall notify Vayusutha of any inaccuracies or omissions in the Personal Data that Vayusutha holds.
Right to Erasure: The right to request deletion of Personal Data, subject to applicable legal exceptions.
Right to Object: The right to object to the processing of Personal Data for specific purposes, such as marketing.
Right to Data Portability: The right to receive their Personal Data in a structured, commonly used format and to transmit it to another entity.
Requests to exercise these rights should be submitted in writing to the Company’s Data Protection Officer (DPO) at the contact information provided below.
8. Third-Party Data Processors
The Company may engage third-party data processors to assist with providing the Services. These processors will be carefully selected, and the Company will ensure that they provide sufficient guarantees regarding the implementation of appropriate technical and organizational measures to meet the requirements of data protection laws.
9. Breach Notification
In the event of a personal data breach that compromises the confidentiality, integrity, or availability of Personal Data, the Company will notify the Client without undue delay and take necessary steps to mitigate the breach. The Company will also notify the relevant authorities as required by applicable laws.
10. Data Retention
The Company will retain Personal Data only as long as necessary for the purposes outlined in this Agreement or as required by applicable law. Once the retention period expires, Personal Data will be securely deleted or anonymized.
11. Compliance with Laws
The Parties agree to comply with all applicable data protection laws, including but not limited to the Section12(1) Act 2008 (Indian Law) Data Protection Law, the General Data Protection Regulation (GDPR) if applicable, and any other relevant local or international privacy laws.
12. Amendments to this Agreement
The Company may amend this Data Privacy Agreement from time to time in response to changes in applicable laws, business practices, or technology. The Client will be notified of any significant amendments, and continued use of the Services will constitute acceptance of the updated Agreement.
13. Governing Law and Dispute Resolution
The courts of Bengaluru, India shall have the sole and exclusive jurisdiction in respect of any matters arising from the use of the Services offered by Parkmywheels or the Terms of Use or any arrangement between Parkmywheels and the User.
